These Terms of Service ("Terms") govern your access to and use of the formcel platform, including our website, applications, APIs, and related services. By using formcel, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using any part of the formcel platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using formcel on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
formcel provides a cloud-based platform for creating forms, editing PDFs, collecting electronic signatures, building workflows, and managing data submissions. The platform includes a web application, REST API, embed SDK, and related tools and services.
3. User Accounts and Responsibilities
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account. Notify us immediately at security@formcel.com if you suspect unauthorized access.
You must be at least 16 years old to use formcel. If you are under 18, you must have parental or guardian consent.
4. Acceptable Use Policy
You agree not to use formcel to:
- Engage in any illegal activity or solicit others to perform illegal acts.
- Distribute malware, viruses, or any other harmful software.
- Send unsolicited bulk communications (spam) through forms or workflows.
- Attempt to gain unauthorized access to other accounts, systems, or networks.
- Infringe on the intellectual property rights of others.
- Deliberately overload or disrupt the platform infrastructure.
- Scrape, crawl, or use automated means to access the platform without our written consent.
We reserve the right to suspend or terminate accounts that violate this policy without prior notice.
5. Intellectual Property
The formcel platform, including its design, code, logos, and documentation, is the intellectual property of formcel, Inc. and is protected by applicable copyright, trademark, and patent laws.
You retain full ownership of all content you create and upload to the platform, including forms, templates, and submission data. By using the platform, you grant formcel a limited license to process this content solely to provide the service.
Any feedback, suggestions, or ideas you provide about the platform may be used by formcel without obligation to you.
6. Payment Terms
formcel offers free and paid subscription plans. Paid plans are billed monthly or annually, as selected at the time of purchase.
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
We offer a 30-day money-back guarantee on all new paid subscriptions. After 30 days, payments are non-refundable except as required by applicable law.
We may change our pricing with 30 days' notice. Price changes do not apply to the current billing period.
7. Limitation of Liability
To the maximum extent permitted by applicable law, formcel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the platform.
Our total aggregate liability for any claims arising from these Terms or your use of the platform shall not exceed the amount you have paid to formcel in the twelve (12) months preceding the claim.
The platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Service Availability
We strive to maintain 99.9% uptime for all paid plans. Scheduled maintenance windows are communicated at least 48 hours in advance via email and our status page.
formcel is not liable for service interruptions caused by circumstances beyond our reasonable control, including natural disasters, third-party infrastructure failures, or government actions.
9. Termination
You may cancel your account at any time through your account settings. Upon cancellation, your data will be available for export for 30 days before permanent deletion.
We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice when possible.
Upon termination, your right to use the platform ceases immediately. Sections related to intellectual property, limitation of liability, and governing law survive termination.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Your continued use of formcel after changes take effect constitutes acceptance of the revised Terms.
